Crown Cards LLC ("CrownCards," "we," "us," or "our") operates the CrownCards website, mobile application, and related services involving the buying, selling, digital opening, storage, and shipping of collectible items and other goods. The website, mobile application, and related services together comprise the CrownCards platform (the "Platform").
BY ACCESSING OR USING THE PLATFORM, YOU ACCEPT THIS AGREEMENT, INCLUDING THE MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER IN SECTION 14. YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ENTER INTO THIS AGREEMENT. YOU MAY NOT ACCESS OR USE THE PLATFORM IF YOU ARE NOT AT LEAST 18 YEARS OLD. IF YOU DO NOT AGREE WITH ALL OF THE PROVISIONS OF THIS AGREEMENT, DO NOT ACCESS OR USE THE PLATFORM.
Certain terms used in this Agreement have the following meanings:
"Account" means your CrownCards user account.
"App" means the CrownCards mobile application.
"Business Day" means any day other than a Saturday, Sunday, U.S. federal holiday, or other day on which banking institutions are generally authorized or required to close in the United States.
"Buyback," "buyback offer," "cash-out offer," "Sell Card," "Accept Offer," or similar language means a limited-time offer, if made available by CrownCards, for CrownCards to purchase an Item from you after the Item has been revealed or added to your inventory.
"Display Price" means, on an Item-by-Item basis and subject to this Agreement, the price displayed on the Platform as the Sell Card price, buyback price, cash-out offer, or other offer price for the applicable Item.
"CrownCards-approved sale program" means a CrownCards-controlled program, offer, or transaction in which CrownCards or a CrownCards affiliate purchases or otherwise acquires an Item from you. It does not mean a peer-to-peer sale, user-to-user sale, remittance, third-party merchant payment, or third-party payment facilitation feature.
"Estimated Market Value" means an estimated value for an Item as determined by CrownCards using data, models, and factors CrownCards considers relevant, including recent comparable sales, market data, grading information, condition, rarity, liquidity, demand, replacement cost, time-to-sale averages, acquisition difficulty, and proprietary factors. Estimated Market Value is not a guarantee of any resale price, cash-out price, future value, or third-party sales-channel value.
"Item" or "Item(s)" means a trading card, sports card, Pokemon card, collectible card, slab, raw card, sealed product, memorabilia item, or other collectible item purchased, revealed, stored, shipped, sold, or otherwise made available through the Platform.
"KYC Verification" means identity, age, account, payment, tax, sanctions, source-of-funds, location, or other verification required by CrownCards, its Payment Agents, or other service providers.
"Sale Fee" means any transaction surcharge, platform fee, processing fee, sale fee, or other amount deducted by CrownCards from a Display Price in connection with a Sale.
"Net Sale Proceeds" means, on an Item-by-Item basis, the Display Price less the Sale Fee and any applicable taxes, fees, reserves, adjustments, chargebacks, shipping charges, storage charges, amounts owed to CrownCards, or other deductions disclosed on the Platform or required by law.
"Pack" or "card pack" means a digital pack product offered through the Platform that contains or represents one or more possible Items disclosed or described on the Platform before purchase.
"Payment Agent" means any third-party payment processor, payment service provider, acquiring bank, payout provider, identity-verification provider, fraud-prevention provider, or other service provider appointed by CrownCards to process or support payments, payouts, refunds, reversals, verification, or related services.
"Payment Instructions" means valid payment, payout, debit card, bank account, supported payout account, tax, identity, or other information required by CrownCards or a Payment Agent to complete a purchase, refund, reversal, Sale Proceeds Request, cash payout, or verification process.
"Payment Mechanism" means a payment method accepted by the Platform or its Payment Agents, including a debit card, credit card, bank account, digital wallet, or other approved payment method.
"Platform credit" means limited-use, in-platform store credit issued by CrownCards and accepted only by CrownCards for eligible transactions on the Platform.
"Promotional credit" means bonus credit, promotional credit, coupons, referral credit, rewards, discounts, goodwill credit, or other promotional value issued by CrownCards.
"Sale" means your sale of an Item to CrownCards or, where expressly made available, to a CrownCards affiliate or through a CrownCards-approved sale program after your acceptance of a buyback offer, cash-out offer, Sell Card offer, automatic inventory repurchase, or similar sale transaction. A Sale is a separate transaction from your Pack or Item purchase.
"Sale Proceeds Request" means a request by you to receive a cash payout of eligible Net Sale Proceeds from your Wallet to a supported payout method through a Payment Agent. The Platform may describe this feature as "Request Sale Proceeds," "Request Payout," or similar language. A Sale Proceeds Request is not a cash-out, redemption, transfer, or payout of Platform credit, Promotional credit, User Balance Funding value, or any other non-sale value.
"Settlement Date" means, on an Item-by-Item basis, the later of the date on which you accept a Sale and the date on which CrownCards has valid Payment Instructions, verification status, and payment-processor approval sufficient to credit or process the applicable Net Sale Proceeds, as determined by CrownCards in its sole discretion.
"User Balance" means the Platform credit, Promotional credit, Wallet balance, and other account ledger entries reflected in your CrownCards Account that may be used for eligible transactions on the Platform, subject to this Agreement. User Balance is a platform ledger; it is not itself a bank account, payment account, stored-value account, or Wallet.
"Wallet" means the ledger feature in your Account that records U.S. dollar-denominated Net Sale Proceeds derived from the Sale of Items, subject to this Agreement. The Wallet may be credited only with Net Sale Proceeds or other proceeds from CrownCards-approved sale programs. You cannot deposit, load, top up, purchase, fund, or add money, Platform credit, Promotional credit, User Balance Funding value, or other non-sale value into the Wallet.
1. Privacy
By using the Platform, you submit personal information and other data ("User Data") to CrownCards. CrownCards will collect, use, process, and share your User Data in accordance with our Privacy Policy, which is incorporated into this Agreement by reference. You consent to such collection, use, processing, and sharing in accordance with our Privacy Policy and applicable law.
2. Accounts
2.1 Account Eligibility and Creation
You may maintain only one CrownCards Account. Creating, operating, controlling, or attempting to control multiple Accounts is prohibited and may result in suspension or termination of all Accounts, cancellation or reversal of transactions, forfeiture of Promotional credit, restriction of User Balance activity, cancellation of Sale Proceeds Requests, and other action permitted by this Agreement or applicable law.
To create and maintain a CrownCards Account, you must meet the following requirements:
- (a) you must be at least 18 years old and the age of majority in the jurisdiction from which you access the Platform;
(b) you must lawfully reside in, and access the Platform only from, a jurisdiction where use of the Platform is permitted;
(c) you must own or be authorized to use any Payment Mechanism associated with your Account;
(d) the name on your Account must match the name associated with your Payment Mechanism, Payment Instructions, KYC Verification information, and any supported payout account you connect;
(e) you must not have been previously banned, suspended, or restricted by CrownCards;
(f) you must have a valid U.S. telephone number unless CrownCards expressly permits otherwise;
(g) you must have valid government-issued identification; and
(h) you must comply with this Agreement, all applicable laws, and all applicable third-party service terms.
2.2 Verification of Account Information
CrownCards reserves the right to verify your eligibility and Account information at any time. Verification may require you to provide government-issued identification, a live video or photograph for facial matching, proof of address, tax information, source-of-funds information, Payment Mechanism information, Payment Instructions, bank or debit card information, supported payout account information, or other information requested by CrownCards or its Payment Agents.
KYC Verification may include submission of a liveness image, government-issued ID, email address, legal name, date of birth, physical address, taxpayer identification number, and other required information. CrownCards may use third-party providers to conduct identity, fraud, location, sanctions, AML, source-of-funds, or other verification checks.
If CrownCards cannot verify your identity, eligibility, Payment Mechanism, Payment Instructions, location, or compliance status, CrownCards may restrict, suspend, or terminate your Account; cancel, delay, deny, reverse, or condition purchases, shipments, buybacks, cash-out offers, Sales, Wallet credits, or Sale Proceeds Requests; and take any other action permitted by this Agreement or applicable law.
2.3 Eligible Locations and Compliance with Laws
The Platform may be restricted or unavailable in certain jurisdictions. It is your responsibility to understand and comply with all applicable local, state, federal, and international laws. You must not use the Platform where prohibited. CrownCards reserves the right to limit the provision, quantity, availability, or functionality of any feature, product, or service to any person, Account, or geographic area.
Any offer made through the Platform is void where prohibited. CrownCards does not provide legal advice regarding whether your use of the Platform is lawful in your jurisdiction.
2.4 Account Deletion
You may request deletion of your Account by contacting support@crowncards.io. Before deleting your Account, you are responsible for using any Platform credit that is not eligible for a Sale Proceeds Request, submitting a Sale Proceeds Request for any eligible Net Sale Proceeds in your Wallet where available, and requesting shipment or completing a Sale of any eligible Items in your inventory.
Purchased Platform credit and Promotional credit are not eligible for a Sale Proceeds Request and are not redeemable for cash except where required by law. If you delete your Account while Platform credit, Promotional credit, Wallet funds, or Items remain in your Account, CrownCards may, subject to applicable law, cancel, forfeit, repurchase, convert, escheat, or otherwise handle such amounts or Items in accordance with this Agreement and its then-current rules.
2.5 Account Responsibilities
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You are responsible for maintaining access to the Platform within your sole control. Any conduct by a third person using or accessing your device or Account is your responsibility. You remain liable for transactions made by others accessing your device or Account, even if your financial institution reverses related charges. You must password-protect your device and log out when finished.
CROWNCARDS ACCOUNTS ARE NOT TO BE USED OR SHARED BY MORE THAN ONE INDIVIDUAL. DOING SO MAY RESULT IN IMMEDIATE TERMINATION.
2.6 Authorization for Contact
By creating an Account, you authorize CrownCards and its service providers to contact you electronically by email, phone, text message, push notification, in-app notification, or other means for account verification, support, security, transaction, legal, compliance, and agreement-related matters. This authorization continues while you maintain an Account and as otherwise permitted by law.
3. Use of Platform
3.1 Limited License
CrownCards grants you a limited, revocable, non-transferable, non-exclusive license to access and use the Platform for your own personal use in accordance with this Agreement. Any attempt to access source code, back-end systems, databases, APIs, inventory systems, risk systems, algorithms, or to manipulate the Platform or related software may result in immediate termination of your Account and other available remedies.
3.2 Acceptable Use and Restrictions
You agree not to:
- (a) use the Platform outside its stated purpose of buying, digitally opening, selling, storing, and shipping collectibles;
(b) engage in unauthorized commercial activity, advertising, scraping, data collection, or unsolicited communications;
(c) license, sell, rent, lease, assign, transfer, or share Platform access, your Account, User Balance, Wallet, Platform credit, Promotional credit, or Items except as expressly permitted by CrownCards;
(d) deceive CrownCards, Payment Agents, service providers, or other users;
(e) attempt to access another person's Account or sensitive account information;
(f) impersonate another person or entity;
(g) use Platform information to harass, abuse, threaten, defame, or harm others;
(h) sell or transfer your Account;
(i) misuse support services or submit false abuse reports, refund requests, chargebacks, shipping claims, payment disputes, KYC information, or fraud reports;
(j) modify, create derivative works of, disassemble, reverse compile, reverse engineer, or attempt to derive source code from any Platform component;
(k) circumvent security features, geolocation controls, KYC requirements, payment restrictions, risk controls, or access restrictions;
(l) use a Payment Mechanism, Payment Instructions, bank account, debit card, supported payout account, or other payout account that you do not own or control;
(m) disparage, tarnish, or otherwise harm CrownCards or the Platform, as determined by CrownCards in its discretion;
(n) copy, reproduce, distribute, republish, download, display, post, transmit, or exploit Platform content without authorization;
(o) systematically retrieve data without written permission, including by using bots, spiders, scrapers, GIFs, pixels, cookies, spyware, or other data-collection mechanisms;
(p) engage in automated Platform use, bot accounts, scripted transactions, data mining, or unauthorized automated purchasing or selling;
(q) interfere with or disrupt Platform operations, connected networks, payment systems, shipment systems, or inventory systems;
(r) upload viruses, malware, or materials that impair Platform function or interfere with user experience;
(s) harass, threaten, or intimidate CrownCards employees, agents, contractors, Payment Agents, or service providers;
(t) fail to comply with all applicable laws and third-party service terms;
(u) remove or fail to retain copyright, trademark, or proprietary notices;
(v) use the Platform for peer-to-peer transfers, remittances, currency exchange, check cashing, money transmission, third-party merchant payments, or any purpose outside the CrownCards Platform;
(w) engage in fraudulent chargebacks, payment reversals, refund abuse, identity fraud, payment fraud, money laundering, terrorist financing, sanctions evasion, source-of-funds misrepresentation, or other unlawful activity; or
(x) take any action that CrownCards determines, in its sole discretion, is abusive, suspicious, harmful, manipulative, unlawful, or inconsistent with the intended operation of the Platform.
3.3 Modification
CrownCards reserves the right, at any time, to modify, suspend, limit, discontinue, or remove the Platform, the App, the website, any product, any Pack, any User Balance feature, any Wallet feature, any Sale Proceeds Request feature, any shipping feature, any buyback or cash-out feature, or any other service or functionality, with or without notice. You will have no claim against CrownCards for any such modification, suspension, limitation, discontinuation, or removal except where required by law.
3.4 Ownership
All intellectual property rights in the Platform, including names, logos, trademarks, designs, data, databases, text, graphics, images, audio, video, software, source code, object code, user interface elements, algorithms, and related content, are owned by CrownCards or its licensors. The provision of the Platform does not transfer to you any rights, title, or interest in such intellectual property. CrownCards retains all rights not expressly granted.
3.5 Third-Party Services
The Platform interoperates with third-party services not controlled by CrownCards, including Payment Agents, card networks, acquiring banks, banks, payout providers, identity-verification providers, fraud-prevention providers, analytics providers, shipping carriers, insurance providers, grading companies, storage providers, and tax providers. You must comply with applicable third-party terms. CrownCards is not responsible for the content, availability, accuracy, acts, omissions, delays, restrictions, or errors of third-party services and disclaims all warranties regarding them.
3.6 Bank Secrecy Act; Anti-Money Laundering; Sanctions
You represent and warrant that you will not use the Platform for money laundering, terrorist financing, sanctions evasion, fraud, illegal gambling, illegal payment activity, or other illicit financial activity. You represent and warrant that you are not on the Office of Foreign Assets Control's Specially Designated Nationals and Blocked Persons List or any other sanctions, watchlist, or restricted-party list. You agree to comply with CrownCards' anti-money laundering, sanctions, fraud-prevention, KYC, and risk policies.
4. User Content
4.1 User Data
"User Data" means information submitted, uploaded, transmitted, displayed, or otherwise provided by you through the Platform, excluding Payment Data handled by Payment Agents. CrownCards is not responsible for the accuracy, completeness, legality, reliability, quality, or other characteristics of User Data.
4.2 User Data Responsibilities
You are solely responsible for your User Data and for creating backup copies of any User Data you wish to preserve. CrownCards is not obligated to back up, preserve, or return User Data.
4.3 Right to Remove Data
CrownCards may remove, refuse, move, restrict, or block access to any content, including User Data, at any time, with or without cause or notice. CrownCards may establish general practices and limits concerning User Data. CrownCards will not be liable for removing or failing to remove any content.
4.4 License
You grant CrownCards an irrevocable, perpetual, non-exclusive, royalty-free, fully paid, worldwide, transferable, sublicensable license to use, reproduce, distribute, publicly display, publicly perform, modify, adapt, prepare derivative works of, incorporate into other works, analyze, process, and otherwise exploit your User Data in connection with the Platform, CrownCards' business, marketing, security, compliance, risk, analytics, machine learning, and product improvement. CrownCards may process User Data to create aggregated or de-identified data sets. This license continues after you stop using the Platform. You waive any claims and assertions of moral rights or attribution with respect to your User Data.
4.5 Feedback
All feedback, suggestions, ideas, improvements, comments, or recommendations you provide to CrownCards may be used by CrownCards without restriction, acknowledgment, or compensation. CrownCards will treat feedback as non-confidential and non-proprietary.
4.6 Other Users
Each user is solely responsible for their own User Data. CrownCards makes no guarantees about the accuracy, currency, suitability, legality, or quality of another user's data. CrownCards has no obligation to restrict or prohibit your interaction with other users and will not be responsible for loss or damage resulting from such interactions.
5. Collectible Purchasing, Storage, Packs, Buybacks, Cash-Out Offers, and Sales
CrownCards allows users to purchase physical collectibles, buy and digitally open Packs, track inventory, store Items, request shipment of physical Items, and, where offered, sell Items to CrownCards or through other CrownCards-approved sale programs.
5.1 Direct Purchase of Collectible Items
Physical goods and collectible Items available on the Platform are sold as final-sale goods unless expressly stated otherwise in this Agreement or required by law. Upon purchase, the Item may appear in your CrownCards inventory and may be stored by CrownCards or a third-party service provider acting on CrownCards' behalf.
CrownCards may display an Estimated Market Value, Display Price, buyback price, cash-out offer, Sell Card price, or similar value for certain Items. Any such value is an estimate or limited-time offer only and may change at any time.
5.2 Pack Purchases
CrownCards may offer Packs or card packs containing one or more collectible Items. For each Pack, CrownCards may disclose information such as the producer, series, cost, quantity of Items included, possible Items, categories, posted odds, value ranges, rarity ranges, grading details, or other information displayed on the applicable product page or purchase flow.
By purchasing a Pack, you acknowledge and agree that you are purchasing the right to receive one of the possible Items available for that Pack, not any particular Item, card, grade, grading outcome, condition, rarity, athlete, character, set, series, Estimated Market Value, Display Price, buyback price, cash-out offer, resale value, future value, or profit.
Pack contents are determined according to the Pack information disclosed on the Platform before purchase. The specific Item you receive will not be known until the Pack is opened or digitally revealed. You are responsible for reviewing all Pack information before purchase.
Statistics, odds, ranges, and disclosures related to any Pack may vary between Packs. Any disclosed ranges or odds are provided for the applicable Pack at the time shown. Distribution between ranges may not be equal unless expressly stated. CrownCards does not guarantee that the Estimated Market Value of any revealed Item will meet or exceed the price paid for the Pack.
Pack purchases are final, non-reversible, and non-refundable except as expressly stated in this Agreement or required by law. The total price of each Pack or Item is displayed before purchase and must be confirmed before any charge is processed. Prices are listed in U.S. dollars unless otherwise stated. Sales tax and other applicable charges are calculated and displayed at checkout where required by law.
5.3 Digital Reveal and Inventory
Once a Pack is opened or digitally revealed, the revealed Item will appear in your CrownCards inventory. After reveal, your available options may include:
- (a) requesting shipment of the physical Item to an eligible delivery address;
(b) storing the Item with CrownCards or its service provider for the applicable storage period;
(c) accepting a CrownCards buyback or cash-out offer, if offered;
(d) selling the Item through another CrownCards-approved sale program, if available; or
(e) using other Platform features CrownCards may make available.
CrownCards does not guarantee that any Pack will contain any particular Item or that any Item will have any particular Estimated Market Value, Display Price, buyback price, cash-out offer, resale value, or future value.
5.4 Estimated Market Value
CrownCards may determine Estimated Market Value using recent comparable sales, market data, third-party data, grading information, condition, rarity, liquidity, demand, population data, acquisition difficulty, replacement cost, market dynamics, time-to-sale averages, signatures, provenance, authenticity certainty, proprietary models, and other factors CrownCards considers relevant.
Estimated Market Value is not a guarantee. Estimated Market Value may differ from prices available on third-party sales channels, grading-company tools, pricing tools, or independent sales. CrownCards does not represent or warrant that any Item has, will maintain, or can be sold for any particular value. Item values may increase, decrease, become volatile, or become unavailable at any time.
5.5 Buyback and Cash-Out Offers
After an Item is digitally revealed or added to your inventory, CrownCards may, in its sole discretion, display a buyback offer, cash-out offer, Display Price, Sell Card price, or similar offer for that Item.
Any buyback or cash-out offer is a separate offer by CrownCards to purchase the applicable Item from you. It is not a refund, reversal, cancellation, prize, wager, gambling payout, redemption of your original purchase, guarantee of value, or right to recover the purchase price of a Pack or Item.
CrownCards is not required to make any buyback or cash-out offer, keep any offer open, or offer any particular price. Any offer may be changed, suspended, withdrawn, terminated, or made unavailable at any time before acceptance. A buyback or cash-out offer is available only on the terms displayed by CrownCards at the time of the offer.
5.6 Sale of Item; Acceptance of Offer
By clicking "Sell Card," "Accept Offer," "Cash Out," or any similar button displayed in connection with a buyback or cash-out offer, you agree to sell the applicable Item to CrownCards at the displayed price.
Upon acceptance of the offer:
- (a) you relinquish all rights in and to the Item;
(b) you assign and transfer all right, title, and interest in the Item to CrownCards;
(c) CrownCards or its service provider may transfer ownership in CrownCards' systems and records from you to CrownCards or a subsequent purchaser;
(d) the Item will be removed from your inventory;
(e) you will no longer have the right to ship, sell, trade, claim, redeem, or otherwise control the Item; and
(f) you will be entitled only to the Net Sale Proceeds, if any, calculated under this Agreement and CrownCards' then-current rules.
All accepted Sales are final and may not be reversed except at CrownCards' sole discretion or as required by law.
5.7 Display Price, Sale Fee, and Net Sale Proceeds
The Display Price is the price shown on the Platform for a buyback, cash-out offer, Sell Card transaction, or other Sale of an Item.
CrownCards may deduct a Sale Fee, processing fee, tax, chargeback reserve, fraud reserve, shipping fee, storage fee, adjustment, debt, amount owed to CrownCards, or other applicable amount from the Display Price.
Net Sale Proceeds means the Display Price less the Sale Fee and any applicable taxes, fees, reserves, adjustments, or amounts owed to CrownCards.
Net Sale Proceeds may be credited to your Wallet after CrownCards confirms the Sale, verifies your eligibility, confirms valid Payment Instructions where required, and completes any applicable fraud, chargeback, AML, sanctions, tax, account-security, payment-processor, or compliance review.
5.8 Storage and Automatic Repurchase
CrownCards, or a third-party service provider acting on its behalf, may store revealed Items for the storage period disclosed on the Platform. During the storage period, you may request shipment of eligible physical Items, subject to KYC Verification, shipping fees, taxes, insurance, fraud review, and this Agreement.
Unless CrownCards states a different storage period on the Platform, CrownCards may store revealed Items for up to seven (7) days. If an Item remains in storage after the applicable storage period, CrownCards may, in its sole discretion, extend the storage period, require shipment, charge storage or handling fees where permitted, or repurchase the Item at the same offer price provided at reveal, at a price determined based on Estimated Market Value, or at another price displayed by CrownCards.
Any automatic repurchase of stored inventory is a separate transaction and is not a refund of the original purchase. Any resulting Platform credit, User Balance, Wallet balance, Net Sale Proceeds, or Sale Proceeds Request rights will be subject to CrownCards' then-current rules and requirements concerning User Balance, Wallet, Sale Proceeds Requests, verification, fraud prevention, AML review, sanctions screening, chargeback risk, tax, and payment-processor requirements, except where applicable law requires otherwise.
CrownCards may provide notice by push notification, text message, email, in-app notice, or another reasonable method before or after an automatic repurchase, but CrownCards is not required to provide notice unless required by law.
5.9 Shipment of Physical Items
You may request shipment of eligible physical Items in your inventory. KYC Verification may be required before shipment. You are responsible for all shipping, tracking, insurance, handling, taxes, duties, and similar charges, which will be disclosed when you request shipment.
CrownCards may offer shipping through USPS, FedEx, UPS, or other carriers, with available service tiers depending on Item value, destination, and carrier availability. Estimated delivery timelines and costs are displayed at the time of shipment request when available. Shipments are currently limited to eligible U.S. domestic addresses unless CrownCards expressly states otherwise.
Items will not ordinarily be shipped on Saturdays, Sundays, or holidays, but CrownCards will attempt to ship Items as promptly as reasonably practicable after confirming your request and completing verification. CrownCards may delay shipment for KYC Verification, fraud review, payment review, address verification, inventory verification, or other compliance checks.
Insurance may be required for shipments exceeding $1,000 in value or another threshold determined by CrownCards. CrownCards may provide shipping and insurance options at cost or with disclosed fees. CrownCards is not liable for any package lost, delayed, damaged, misdelivered, or stolen in transit except to the extent required by law or expressly covered by purchased insurance.
You must notify CrownCards within ten (10) days of delivery of any shipping error, missing Item, incorrect Item, damaged package, or other shipment issue. If you do not notify CrownCards within that period, you agree that you have accepted the shipment received as fully satisfying the inventory transfer.
5.10 Loss of Inventory and Inventory Errors
If an Item held by CrownCards or its service provider is lost, stolen, destroyed, or cannot be located, CrownCards may, in its sole discretion, credit your Account with the Estimated Market Value at the time of loss, credit your Account with the Estimated Market Value plus a discretionary adjustment, repurchase and ship an equivalent replacement, or provide another remedy determined by CrownCards. You bear the risk of changes in Estimated Market Value before, during, and after a shipment request, storage period, Sale, or inventory review, except where applicable law provides otherwise.
If CrownCards determines that an Item, label, description, odds disclosure, Estimated Market Value, Display Price, or other Platform information is incorrect because of a human error, technical error, software error, data error, pricing error, market-data error, grading-data error, or inventory error, CrownCards may correct the error, void or reverse the affected transaction, remove the Item from inventory, refund the original payment method, issue Platform credit, adjust User Balance or Wallet entries, or take other reasonable action.
5.11 Grading and Raw Cards
Some Items may be graded by third-party grading companies, and others may be ungraded, raw, or otherwise not professionally graded. Cards not specified as graded, marked as raw, or without third-party graded cases are sold as ungraded collectibles.
CrownCards strives to maintain raw or ungraded collectible inventory in reasonable condition, but CrownCards does not guarantee the condition, grade, authenticity determination, third-party grading outcome, or future market value of raw or ungraded Items. Shipped raw collectibles are sold as-is, except where applicable law provides otherwise.
You may sell raw or ungraded Items to CrownCards only if CrownCards makes a buyback or cash-out offer available for the applicable Item.
5.12 Redeeming Platform Credit Is Separate From Selling an Item
Using or redeeming Platform credit for Packs, Items, shipping, insurance, taxes, fees, or other Platform transactions is separate from selling an Item. Redeeming Platform credit does not transfer any Item to CrownCards and does not create any right to a Sale Proceeds Request or cash payout.
Selling an Item to CrownCards requires a separate buyback offer, cash-out offer, Sell Card transaction, automatic repurchase, or other CrownCards-approved Sale, and your acceptance of the applicable offer or sale terms.
6. Fees, User Balance, Platform Credit, Wallet, and Requesting Sale Proceeds
6.1 Fees
CrownCards makes commercially reasonable efforts to display applicable fees in connection with use of the Platform, including Platform fees, Sale Fees, payment-processing fees, shipping fees, insurance fees, storage fees, Sale Proceeds Request fees, tax charges, and other fees. You may incur third-party fees for payment processing, Sale Proceeds Requests, expedited payouts, shipping, insurance, chargebacks, or other services.
CrownCards' fees and payment policies may change at any time in CrownCards' sole discretion. Applicable fees will be shown at checkout, shipment request, Sale acceptance, Sale Proceeds Request, or another relevant point in the Platform flow where reasonably practicable.
6.2 User Balance
Your Account may display a User Balance. User Balance means the Platform credit, Promotional credit, Wallet balance, and other account ledger entries reflected in your CrownCards Account that may be used for eligible transactions on the Platform, subject to this Agreement.
User Balance is the general Account ledger shown in the Platform. It may display Platform credit purchased by you, Platform credit issued by CrownCards, Promotional credit, Wallet balance, and other Account entries separately or together in the Platform interface. Not all User Balance amounts are eligible for a Sale Proceeds Request.
For clarity, User Balance Funding purchases Platform credit only. User Balance Funding does not add money to your Wallet. The Wallet is separate from purchased Platform credit and may be credited only with Net Sale Proceeds from a completed Sale of an Item or other CrownCards-approved sale program.
6.3 User Balance Funding; Purchase of Platform Credit
You may engage in User Balance Funding by purchasing CrownCards Platform credit. Platform credit is limited-use, in-platform store credit issued by CrownCards and accepted only by CrownCards for eligible purchases and transactions on the Platform, including Packs, Items, shipping, insurance, taxes, fees, and other CrownCards products or services. User Balance Funding is the purchase of Platform credit; it is not a deposit into the Wallet and does not create Wallet funds.
Platform credit is intended for use on the CrownCards Platform. Platform credit is not cash, is not a bank deposit, is not a savings account, is not a demand deposit account, is not a general-purpose stored-value product, is not money transmission, is not e-money, is not a prepaid card, and is not a general-purpose payment account.
Platform credit does not earn interest, is not insured by the FDIC or any other governmental agency, is not held in a bank account for you, and may not be transferred to another user, sold, assigned, pledged, used with third-party merchants, or used outside the Platform.
Funds used for User Balance Funding and Platform credit purchases are final, non-reversible, and non-refundable except as expressly stated in this Agreement or required by law. You may use only a Payment Mechanism that you own or are authorized to use. CrownCards may reject, reverse, cancel, or restrict User Balance Funding in its sole discretion.
6.4 Closed-Loop Platform
CrownCards is a closed-loop collectibles platform. User Balance, Platform credit, Promotional credit, and Wallet features are intended only to facilitate transactions on the CrownCards Platform and, only where expressly available, Sale Proceeds Requests for eligible Net Sale Proceeds derived from a completed Sale of an Item.
User Balance and Platform credit may be used only for CrownCards products, CrownCards services, shipping, insurance, taxes, fees, and other eligible Platform transactions. User Balance, Platform credit, Promotional credit, Wallet funds, and Net Sale Proceeds may not be used for peer-to-peer transfers, user-to-user money transfers, remittances, currency exchange, check cashing, third-party merchant payments, or any purpose outside the CrownCards Platform except for Sale Proceeds Requests for eligible Net Sale Proceeds as expressly described in this Agreement. The Sale Proceeds Request feature applies only to eligible Net Sale Proceeds in the Wallet and does not make purchased Platform credit or Promotional credit eligible for a Sale Proceeds Request.
Your CrownCards Account is not a bank account, savings account, demand deposit account, brokerage account, general-purpose wallet, or general-purpose money transmission service.
6.4.1 Wallet Is Not User-Funded
The Wallet is not used for User Balance Funding and is not a place where users deposit, load, top up, purchase, transfer, or add money or Platform credit. The Wallet is a ledger for Net Sale Proceeds from completed Sales of Items and any other proceeds from CrownCards-approved sale programs. Purchased Platform credit and Promotional credit are closed-loop Platform value and are not Wallet funds.
6.4.2 No Peer-to-Peer or Third-Party Sale Activity
CrownCards does not provide peer-to-peer transfers, user-to-user money transfers, remittances, currency exchange, check cashing, third-party merchant payments, or user-to-user sale payments. Unless CrownCards expressly adopts separate written terms for a separate feature, all buyback offers, cash-out offers, Sales, Wallet credits, and Net Sale Proceeds described in this Agreement involve a sale of an Item to CrownCards or a CrownCards affiliate, not a sale to another user.
6.5 Buyback, Cash-Out, and Inventory Credits
Once an Item has been digitally revealed or added to your inventory, your available options are limited to the options CrownCards makes available, which may include requesting shipment of the physical Item or accepting CrownCards' buyback or cash-out offer, if offered.
Any buyback, cash-out offer, automatic repurchase of stored inventory, Platform credit, Wallet credit, or other credit issued by CrownCards is a separate transaction and is not a refund of the original purchase.
Any resulting Platform credit, User Balance, Wallet balance, Net Sale Proceeds, or Sale Proceeds Request rights will be subject to CrownCards' then-current rules and requirements concerning User Balance, Wallet, Sale Proceeds Requests and related cash payouts, verification, fraud prevention, AML review, sanctions screening, chargeback risk, payment-processor requirements, and taxes, except where applicable law requires otherwise.
6.6 Wallet; Net Sale Proceeds
Your Account may include a ledger feature called a Wallet. Your Wallet records U.S. dollar-denominated Net Sale Proceeds derived from the Sale of Items to CrownCards or, where expressly made available, through CrownCards-approved sale programs. The Wallet is separate from User Balance Funding and purchased Platform credit.
Your Wallet balance may be used to purchase CrownCards products or, where CrownCards makes the feature available, to submit a Sale Proceeds Request to a supported payout method.
The Wallet is a closed-loop feature intended only to facilitate transactions on the CrownCards Platform and Sale Proceeds Requests for eligible Net Sale Proceeds as described in this Agreement. The Wallet is not a bank account, savings account, demand deposit account, brokerage account, or general-purpose money transmission service. Funds held in your Wallet are not insured, and you will not receive interest or other earnings on Wallet funds.
Your Wallet may be credited only with Net Sale Proceeds from the Sale of an Item or with proceeds from other CrownCards-approved sale programs. You may not deposit, load, top up, purchase, fund, transfer, or add money, Platform credit, Promotional credit, or other non-sale value into the Wallet. Wallet funds may only be used to purchase CrownCards products or to be paid out through a Sale Proceeds Request as described in this Agreement. Wallet funds may not be used for peer-to-peer transfers, third-party merchant payments, remittances, currency exchange, check cashing, or any other purpose.
For clarity, Platform credit purchased through User Balance Funding is not the same as Net Sale Proceeds credited to your Wallet. Purchased Platform credit is not eligible for a Sale Proceeds Request, cannot be moved into the Wallet, and cannot become Wallet funds unless first used to purchase a Pack or Item and the resulting Item is later sold in a separate Sale that generates Net Sale Proceeds.
To the extent Wallet funds are maintained by a Payment Agent, you agree and understand that such funds may be maintained in pooled custodial accounts held by third-party payment processors or other service providers. CrownCards does not take custody of or title to your Wallet funds except as expressly stated in connection with fees, reserves, chargebacks, adjustments, reversals, forfeitures, or other amounts owed to CrownCards.
6.7 Review Hold; Up to Seven Business Day Sale Proceeds Delay
Net Sale Proceeds credited or expected to be credited to your Wallet are subject to a review hold before any Sale Proceeds Request may be submitted, approved, transmitted to a Payment Agent, or processed.
Unless CrownCards states otherwise on the Platform, Net Sale Proceeds are subject to a minimum twenty-four-hour (24-hour) review hold and may be subject to a standard forty-eight-hour (48-hour) review hold.
In addition to the 24-hour or 48-hour review hold, CrownCards may impose a routine sale-proceeds payout delay of up to seven (7) Business Days after the Settlement Date before making Net Sale Proceeds available for a Sale Proceeds Request or before transmitting an approved Sale Proceeds Request to a Payment Agent. This delay may be applied as a standard fraud, risk, inventory, chargeback, market-data, or payment review period and does not mean that CrownCards has determined that you engaged in prohibited conduct.
CrownCards may extend the review hold or sale-proceeds payout delay beyond seven (7) Business Days for any reason CrownCards determines is appropriate, including fraud review, chargeback risk, payment-processor review, KYC Verification, AML review, sanctions screening, tax review, account-security review, source-of-funds review, suspected misuse, technical issues, inventory verification, market-data review, Payment Agent review, bank delay, legal process, regulatory inquiry, or other compliance review.
No Wallet funds, Net Sale Proceeds, Platform credit, User Balance amount, Sale Proceeds Request, or related cash payout is guaranteed to be available, approved, transmitted, or processed at any particular time.
6.8 Requesting Sale Proceeds; Payment Agents
To submit a Sale Proceeds Request for eligible Net Sale Proceeds from your Wallet, you must connect or provide a valid supported payout account and provide any information required by CrownCards or CrownCards' Payment Agents to verify your identity and process the transaction.
Required information may include your legal name, date of birth, physical address, taxpayer identification number, Social Security Number, Individual Taxpayer Identification Number, government identification, liveness verification, bank account information, debit card information, supported payout account information, or other information.
All Sale Proceeds Requests are subject to CrownCards' then-current rules and requirements concerning User Balance, Wallet, verification, AML review, fraud prevention, sanctions screening, chargebacks, tax reporting, payment-processor requirements, payout limits, reserve periods, account-age requirements, review holds, sale-proceeds payout delays, and supported payout methods.
CrownCards may impose minimum payout amounts, maximum payout amounts, velocity limits, reserve periods, chargeback reserves, tax documentation requirements, Payment Agent requirements, account-age requirements, KYC requirements, and other conditions. CrownCards may delay, limit, deny, reverse, cancel, suspend, or condition any Sale Proceeds Request in its sole discretion.
All cash payouts of eligible Net Sale Proceeds are processed by a Payment Agent. You agree to comply with the applicable Payment Agent terms and conditions when connecting your account or submitting a Sale Proceeds Request. CrownCards is not responsible for delays, holds, payout failures, account restrictions, reversals, rejected transfers, or other issues attributable to a Payment Agent, your bank, your financial institution, your payment account, incorrect payout information, or your failure to complete verification.
If you do not set up and maintain a valid supported payout account, you may not be able to submit a Sale Proceeds Request or receive a cash payout of eligible Net Sale Proceeds in your Wallet, and such proceeds may be subject to escheatment or other handling in accordance with applicable law and this Agreement.
6.9 Purchased Platform Credit Is Not a Sale Proceeds Request Right
Purchasing Platform credit does not create any right to submit a Sale Proceeds Request or receive a cash payout. Platform credit purchased through User Balance Funding may be used only for eligible Platform transactions. Purchased Platform credit is not itself eligible for cash payout, cashable, transferable, redeemable for money, or eligible to be deposited, loaded, transferred, or converted into the Wallet, except where required by applicable law.
If you use Platform credit to purchase a Pack or Item and later sell the revealed or purchased Item to CrownCards or through another CrownCards-approved sale program, that Sale is a separate transaction. Any Net Sale Proceeds from that separate Sale may be credited to your Wallet and may be eligible for a Sale Proceeds Request only under this Agreement and CrownCards' then-current rules.
6.10 Promotional Credit
CrownCards may issue Promotional credit, bonus credit, rewards, discounts, coupons, goodwill credit, referral credit, or other promotional value.
Promotional credit may be used only for eligible Platform purchases. Promotional credit has no cash value and may not be eligible for a Sale Proceeds Request, cashed out, transferred, sold, assigned, redeemed for money, or used outside the Platform. CrownCards may limit, expire, revoke, adjust, or forfeit Promotional credit in accordance with this Agreement or applicable promotion rules.
If you submit or receive payment from a Sale Proceeds Request, CrownCards may forfeit or adjust unused Promotional credit to the extent disclosed in the applicable promotion rules or permitted by law.
6.11 Stored Payment Terms
By manually entering and authorizing storage of Payment Data, you confirm that you own or are authorized to use the associated Payment Mechanism and authorize CrownCards and its Payment Agents to store and use the Payment Mechanism upon your approval for future user-initiated transactions. All stored Payment Data will be stored by CrownCards or its Payment Agents in accordance with applicable requirements and may be removed where supported.
CrownCards will not initiate scheduled transactions without your consent. All purchases, User Balance Funding, shipment requests, Sale Proceeds Requests, and other transactions must be user-initiated or otherwise authorized under this Agreement.
6.12 Transaction Receipts
You should retain copies of transaction confirmations, receipts, policies, this Agreement, and the Privacy Policy. When you make a purchase or conduct a transaction, CrownCards may provide an on-screen confirmation, email confirmation, transaction history entry, or other notice.
6.13 Taxes
You are solely responsible for reporting and paying any taxes arising from your purchases, User Balance Funding, Pack purchases, Item purchases, storage, shipments, Sales, Net Sale Proceeds, Wallet activity, Sale Proceeds Requests, Promotional credit, or other Platform activity.
CrownCards may request tax information, withhold taxes, issue tax forms, report proceeds, restrict Wallet activity, delay Sale Proceeds Requests, or withhold amounts where required by law or by CrownCards' Payment Agents. Sale Proceeds Requests or Net Sale Proceeds exceeding applicable reporting thresholds may require completion of tax forms before processing.
Where CrownCards is required by law to withhold tax from any amount due to you, you authorize CrownCards to withhold such amounts from Net Sale Proceeds, Wallet funds, User Balance, or other amounts. If CrownCards pays taxes, duties, VAT, or other amounts on your behalf, you agree to reimburse CrownCards, and CrownCards may offset such amounts against Net Sale Proceeds, Wallet funds, User Balance, Items, or other property in its possession to the extent permitted by law.
6.14 Refund Policy
This Section governs User Balance Funding, Platform credit purchases, Pack purchases, Item purchases, buyback and cash-out transactions, automatic inventory repurchases, shipping and redemption charges, Wallet transactions, Sale Proceeds Requests, and other payments made through the Platform.
Except as expressly stated in this Agreement or required by applicable law, all such transactions are final, non-reversible, and non-refundable.
6.14.1 User Balance Funding
Platform credit purchased through User Balance Funding is intended for use on the Platform and, once credited to your Account, may be subject to CrownCards' then-current rules and requirements concerning User Balance, Platform credit, Sale Proceeds Requests for eligible Net Sale Proceeds, verification, fraud prevention, AML review, chargebacks, and account security. User Balance Funding does not deposit funds into the Wallet.
CrownCards may issue a refund, reversal, or account adjustment with respect to User Balance Funding only in the limited circumstances described in Section 6.14.5 or as otherwise required by applicable law.
If funds added to your User Balance have already been used for purchases, shipments, redemptions, Sales, cash-out transactions, or other transactions before a refund request is resolved, CrownCards may deny the request in whole or in part and instead address the affected downstream transaction separately, if appropriate.
6.14.2 Pack Purchases
Because Pack contents are randomized and applicable Pack information is disclosed before purchase, you understand and agree that you are purchasing the right to receive one of the possible Items available for that Pack, not any particular Item, card, grade outcome, condition, rarity, Estimated Market Value, Display Price, buyback price, cash-out offer, resale value, market value, future value, or profit.
Once a Pack has been purchased, that transaction is final, non-reversible, and non-refundable except as provided in Section 6.14.5 or required by applicable law.
6.14.3 Buyback, Cash-Out, and Inventory Credits
Once an Item has been digitally revealed, your available options are limited to requesting shipment of the physical Item or accepting CrownCards' buyback or cash-out offer, if offered.
Any buyback, cash-out offer, automatic repurchase of stored inventory, Platform credit, Wallet credit, User Balance credit, Net Sale Proceeds, or other credit issued by CrownCards is a separate transaction and not a refund of the original purchase.
Any such offer is available only on the terms presented by CrownCards at the time of the offer, and any resulting Platform credit, User Balance, Wallet balance, Net Sale Proceeds, or Sale Proceeds Request rights will be subject to CrownCards' then-current rules and requirements concerning User Balance, Wallet, Sale Proceeds Requests, verification, fraud prevention, AML review, sanctions screening, chargeback risk, payment-processor requirements, and taxes, except where applicable law requires otherwise.
6.14.4 Shipping and Redemption Charges
Shipping, redemption, insurance, handling, taxes, duties, and similar fees disclosed when you request shipment or redemption are separate charges from the underlying Pack purchase or Item purchase. Such charges are generally non-refundable once the applicable shipment or redemption request has been submitted or processing has begun, except as provided in Section 6.14.5, where CrownCards cancels or is unable to fulfill the applicable shipment or redemption, or where required by law.
6.14.5 Limited Refund Circumstances
CrownCards may issue a refund, reversal, or account credit, in whole or in part, only in limited circumstances, including:
- (a) the charge was duplicated or resulted from a confirmed technical, software, human, pricing, inventory, or payment-processing error;
(b) the charge was unauthorized or fraudulent, as determined by CrownCards or the applicable Payment Agent after review;
(c) CrownCards declines, cancels, voids, or is unable to fulfill the applicable order, User Balance Funding, shipment, redemption, Sale, cash-out transaction, or payout;
(d) CrownCards determines in its sole discretion that an account adjustment is appropriate; or
(e) a refund is required by applicable law.
Any refund may be issued to the original Payment Mechanism, as Platform credit, as Wallet credit, or as another account adjustment, in CrownCards' sole discretion, unless applicable law requires a different method.
6.14.6 Refund Exclusions
Refunds will not be issued for:
- (a) dissatisfaction with the Item received;
(b) dissatisfaction with the randomized outcome of a Pack;
(c) dissatisfaction with the stated odds, value ranges, rarity ranges, Pack information, or Estimated Market Value disclosures;
(d) changes in an Item's market value before or after reveal, shipment, storage, buyback, cash-out, Sale, or payout;
(e) failure to request shipment or accept a buyback or cash-out offer during the applicable storage period or offer window;
(f) User Balance funds or Platform credit that have already been used for purchases, shipments, redemptions, Sales, cash-out transactions, or other transactions, except to the extent caused by CrownCards' error or required by law;
(g) shipping charges, taxes, duties, insurance, handling, or similar fees, except to the extent caused by CrownCards' error or required by law;
(h) account restrictions, suspensions, terminations, forfeitures, holds, or payout delays arising from suspected fraud, chargebacks, identity-verification failure, prohibited conduct, payment disputes, or misuse of the Platform; or
(i) any delay, limit, denial, reversal, cancellation, or failure of a Sale Proceeds Request or related cash payout caused by KYC Verification, AML review, sanctions screening, chargeback risk, tax review, Payment Agent review, incorrect Payment Instructions, bank rejection, Payment Agent restriction, or other compliance or payment-processing issue.
6.14.7 Refund Review Procedure
To request review of a potential refund, you must contact support@crowncards.io promptly after discovering the issue and, in any event, no later than thirty (30) days after the applicable transaction unless a longer period is required by law. You may be required to provide your username, email address associated with your Account, transaction date, amount charged, Payment Mechanism used, transaction ID, screenshots, shipment information, and any other information CrownCards reasonably requests. CrownCards may deny any request if sufficient information is not provided.
7. Anti-Money Laundering
Any use of the Platform for money laundering, terrorist financing, sanctions evasion, fraud, illegal payment activity, or any other illicit financial activity is strictly prohibited. This includes any attempt to use the Platform to transfer funds through fraudulent transactions, manipulate User Balance, convert Platform credit improperly, exploit Sale Proceeds Request features, evade KYC Verification, or conduct transactions for another person.
Upon determining or suspecting that a user has engaged in prohibited activity, CrownCards may: (a) suspend or terminate the Account; (b) temporarily or permanently ban the user from the Platform; (c) delay, deny, cancel, reverse, or condition any purchase, shipment, Sale, buyback, cash-out offer, Wallet credit, or Sale Proceeds Request; (d) pursue further action, including legal proceedings; (e) report activity to law enforcement, regulators, Payment Agents, banks, or card networks; and (f) freeze, adjust, offset, or forfeit User Balance, Platform credit, Promotional credit, Wallet funds, Net Sale Proceeds, and inventory to the extent permitted by law.
8. Cheating Policy
8.1 Prohibited Conduct
The following is a non-exhaustive list of prohibited conduct:
- (a) using virtual private networks, proxies, emulators, location-spoofing tools, or similar tools to bypass location, eligibility, or account controls;
(b) failing to provide or maintain accurate Account, identity, address, tax, phone, Payment Mechanism, or Payment Instructions information;
(c) using fake, disposable, non-cell-provider-issued, or non-single-device phone numbers;
(d) opening, operating, controlling, or attempting to control multiple Accounts;
(e) conducting or attempting fraudulent transactions, including fraudulent chargebacks, refund abuse, payment disputes, or payment reversals;
(f) exploiting Platform errors contrary to their intended purpose;
(g) using jailbroken devices, rooted devices, modified devices, unauthorized software, bots, scripts, or automation;
(h) manipulating Pack purchases, Pack reveals, estimated values, Display Prices, buyback offers, cash-out offers, shipping requests, Wallet credits, Sale Proceeds Requests, or other Platform features;
(i) sharing money-making strategies, hacks, exploits, identity documents, Payment Mechanisms, or schemes designed to mislead CrownCards about identity, location, eligibility, or ownership of funds;
(j) using another person's identity, Payment Mechanism, Payment Instructions, bank account, debit card, supported payout account, or government identification; or
(k) any other activity CrownCards determines is abusive, fraudulent, manipulative, risky, unlawful, or inconsistent with the intended operation of the Platform.
8.2 Consequences
Upon determining or suspecting that a user has engaged in prohibited conduct, CrownCards may: (a) suspend or terminate the Account; (b) temporarily or permanently ban the user from the Platform; (c) void or reverse purchases, Pack reveals, buybacks, cash-out offers, Sales, shipments, Wallet credits, Net Sale Proceeds, or Sale Proceeds Requests; (d) pursue further action, including legal proceedings; and (e) freeze, adjust, offset, or forfeit User Balance, Platform credit, Promotional credit, Wallet funds, Net Sale Proceeds, and inventory to the extent permitted by law.
9. Indemnity
You agree to indemnify, defend, and hold CrownCards and its affiliates, and its and their directors, officers, members, owners, employees, agents, representatives, contractors, successors, assigns, Payment Agents, and service providers harmless from any and all losses, damages, liabilities, claims, actions, judgments, awards, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising from or relating to any claim or demand due to or arising out of: (a) your use or misuse of the Platform; (b) your User Data; (c) your violation of this Agreement; (d) your violation of applicable laws or regulations; (e) your breach of any representation, warranty, or covenant; (f) your Payment Mechanism, Payment Instructions, Account, User Balance, Wallet, Platform credit, Promotional credit, Net Sale Proceeds, purchases, Sales, Sale Proceeds Requests, or shipments; or (g) your negligence, willful misconduct, fraud, or prohibited conduct.
CrownCards may assume exclusive defense and control of any matter subject to indemnification at your expense, and you must cooperate with CrownCards. You may not settle any claim without CrownCards' prior written consent. CrownCards will make reasonable efforts to notify you of claims.
10. Disclaimers
YOU EXPRESSLY AGREE THAT ACCESS TO AND USE OF THE PLATFORM IS AT YOUR SOLE RISK. THE PLATFORM, PRODUCTS, SERVICES, PACKS, ITEMS, USER BALANCE, PLATFORM CREDIT, WALLET, BUYBACK FEATURES, CASH-OUT FEATURES, SHIPPING FEATURES, CASH PAYOUT FEATURES, CONTENT, DATA, VALUES, ESTIMATES, ODDS, AND THIRD-PARTY SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
EXCEPT FOR ANY SPECIFIC WARRANTIES EXPRESSLY PROVIDED IN THIS AGREEMENT, CROWNCARDS MAKES NO AND HEREBY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES WITH RESPECT TO THE PLATFORM, PRODUCTS, SERVICES, PACKS, ITEMS, USER ACTS OR OMISSIONS, THIRD-PARTY SERVICES, ESTIMATED MARKET VALUE, DISPLAY PRICE, NET SALE PROCEEDS, USER BALANCE, PLATFORM CREDIT, WALLET, CASH PAYOUTS, SHIPPING, AND PAYMENT PROCESSING, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
CROWNCARDS MAKES NO REPRESENTATION OR WARRANTY THAT: (a) MATERIALS ON THE PLATFORM ARE ACCURATE, COMPLETE, APPROPRIATE, RELIABLE, OR TIMELY; (b) THE PLATFORM WILL MEET YOUR REQUIREMENTS; (c) ACCESS WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (d) THE PLATFORM WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (e) ANY PACK WILL CONTAIN A PARTICULAR ITEM OR VALUE; (f) ANY ITEM WILL HAVE OR MAINTAIN ANY PARTICULAR ESTIMATED MARKET VALUE, DISPLAY PRICE, BUYBACK PRICE, CASH-OUT OFFER, RESALE VALUE, OR FUTURE VALUE; (g) ANY ITEM CAN BE SOLD, SHIPPED, OR CASHED OUT AT ANY PARTICULAR TIME OR PRICE; (h) ANY GRADING COMPANY WILL MAKE ANY PARTICULAR GRADING DETERMINATION; OR (i) ANY CASH PAYOUT WILL BE AVAILABLE, APPROVED, OR PROCESSED WITHIN ANY PARTICULAR TIME.
Collectible values may change over time and may be volatile. Estimated Market Value is determined by CrownCards using data and factors CrownCards considers relevant and may differ from prices you could obtain independently. You expressly accept the risk that the value of an Item may change between the time it is displayed, purchased, revealed, stored, shipped, sold, or cashed out.
Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions and only to the extent disallowed, this disclaimer will not apply.
11. Limitation of Liability and Release
11.1 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CROWNCARDS AND ITS AFFILIATES, SUPPLIERS, PAYMENT AGENTS, SERVICE PROVIDERS, AND ITS AND THEIR DIRECTORS, OFFICERS, MEMBERS, OWNERS, EMPLOYEES, AGENTS, REPRESENTATIVES, CONTRACTORS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR IN CONNECTION WITH THE PLATFORM, PRODUCTS, SERVICES, PACKS, ITEMS, USER ACTS, THIRD-PARTY SERVICES, THIRD-PARTY TRANSACTIONS, USER BALANCE, PLATFORM CREDIT, PROMOTIONAL CREDIT, WALLET, NET SALE PROCEEDS, BUYBACK OFFERS, CASH-OUT OFFERS, CASH PAYOUTS, SHIPMENTS, VALUES, ODDS, OR ESTIMATES, EVEN IF CROWNCARDS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE AGGREGATE LIABILITY OF CROWNCARDS AND ITS AFFILIATES, SUPPLIERS, PAYMENT AGENTS, AND SERVICE PROVIDERS TO YOU EXCEED THE GREATER OF (A) THE AMOUNT OF FEES PAID OR PAYABLE TO CROWNCARDS BY YOU UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
For any claim arising solely from a Sale of a particular Item to CrownCards, CrownCards' maximum aggregate liability will not exceed the Net Sale Proceeds for the Item giving rise to the claim, or $100 if no Sale occurred, to the fullest extent permitted by law.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.
11.2 Waiver of Claims
EACH TIME YOU ACCESS THE PLATFORM, YOU EXPRESSLY RELEASE ANY AND ALL CLAIMS YOU HAVE AGAINST CROWNCARDS TO THE MAXIMUM EXTENT PERMITTED BY LAW. THIS RELEASE INCLUDES, TO THE EXTENT APPLICABLE, ANY RIGHTS UNDER CALIFORNIA CIVIL CODE SECTION 1542 OR SIMILAR LAWS, WHICH PROVIDES THAT A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST AT THE TIME OF EXECUTING THE RELEASE.
You understand and accept that CrownCards is unable to provide legal advice or assurances about the legality of your use of the Platform in any jurisdiction. It is your sole responsibility to ensure that you are legally allowed to access and use the Platform. To the maximum extent permitted by law, you waive any right to bring a claim under any gambling loss recovery statute or similar law, or otherwise challenge the legality of the Platform or services based on your voluntary use of the Platform.
12. Term and Termination
This Agreement remains in effect until terminated. CrownCards may suspend your rights to use the Platform, suspend or terminate your Account, ban you from the Platform, restrict User Balance activity, restrict Wallet activity, restrict Sale Proceeds Requests, restrict shipments, remove Items, delete User Data, cancel transactions, or terminate this Agreement at any time and for any reason, at CrownCards' sole discretion, subject to applicable law.
Upon termination, your Account access ends immediately. CrownCards may delete some or all of your User Data. CrownCards will not have liability to you for termination, suspension, restriction, deletion, cancellation, or loss of access except where required by law.
Termination does not relieve you of obligations incurred before termination, including payment obligations, chargeback obligations, tax obligations, indemnification obligations, and obligations relating to Sales, Sale Proceeds Requests, Payment Instructions, Account activity, or prohibited conduct.
13. Copyright Policy
CrownCards respects intellectual property and implements a copyright infringement removal policy. To report infringement, send written notification to legal@crowncards.io including: (a) a physical or electronic signature; (b) a description of the copyrighted work; (c) a description of the allegedly infringing material; (d) sufficient location information; (e) your contact information; (f) a good-faith belief statement that use is unauthorized; and (g) an accuracy statement under penalty of perjury regarding ownership or authorization.
Any misrepresentation of material fact in a written notification may subject the complaining party to liability for damages, costs, and attorneys' fees.
14. Choice of Law, Arbitration Agreement, Jury Trial Waiver, Class Action Waiver, and Forum Selection
14.1 Choice of Law
Except to the extent applicable law requires otherwise, this Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-law provisions. The arbitration provisions in this Section are governed by the Federal Arbitration Act.
14.2 Pre-Arbitration Dispute Resolution
Most concerns can be resolved by emailing support@crowncards.io. Before initiating arbitration or any formal proceeding, the party initiating a claim must provide written notice of the dispute and engage in good-faith informal dispute resolution.
A notice of dispute must include: (a) your username and email address associated with your Account; (b) your first and last name; (c) your residence address; (d) your telephone number; (e) a detailed explanation of the complaint or claim; (f) dates, times, transaction IDs, or other relevant details; and (g) the remedy, action, or amount you seek.
The parties will use good-faith efforts to resolve the dispute informally for at least thirty (30) days after receipt of the notice, unless the parties agree otherwise. This informal dispute resolution process is a condition precedent to arbitration or litigation to the extent permitted by law.
14.3 Arbitration Agreement
Except as identified in Section 14.4, disputes between you and CrownCards arising from or relating to the Platform, this Agreement, your Account, User Balance, Platform credit, Promotional credit, Wallet, Packs, Items, purchases, Sales, buyback offers, cash-out offers, Net Sale Proceeds, Sale Proceeds Requests, shipments, Payment Mechanisms, Payment Instructions, or any transaction or relationship between you and CrownCards shall be exclusively settled through binding arbitration pursuant to the then-current applicable rules of the American Arbitration Association or another arbitration provider selected by CrownCards if the American Arbitration Association is unavailable or unwilling to administer the dispute.
THERE IS NO JUDGE OR JURY IN ARBITRATION. ARBITRATION PROCEDURES ARE SIMPLER AND MORE LIMITED THAN RULES APPLICABLE IN COURT, AND COURT REVIEW IS LIMITED. YOU AND CROWNCARDS AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, COLLECTIVE, PRIVATE ATTORNEY GENERAL, QUI TAM, OR REPRESENTATIVE ACTION.
The arbitrator shall have exclusive authority to decide all issues relating to the scope, validity, enforceability, interpretation, and arbitrability of this arbitration agreement and any dispute.
14.4 Small Claims
Either party may pursue an individual claim in small claims court if the claim qualifies and remains in that court. For disputes under $12,500, either party may select an appropriate small claims court in Delaware or another jurisdiction required by applicable law.
14.5 Confidentiality
All aspects of the arbitration proceeding, including pleadings, discovery, hearings, rulings, decisions, and awards, will be confidential to the fullest extent permitted by law.
14.6 Future Changes to Arbitration Agreement
If CrownCards makes any future material change to this Section 14 while you are a user of the Platform, you may reject that change by ceasing all use of the Platform and sending written notice to legal@crowncards.io within thirty (30) calendar days after the change becomes effective. By rejecting changes, you agree to arbitrate under the prior arbitration provision to which you agreed, to the extent enforceable.
14.7 Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER YOU NOR CROWNCARDS MAY ARBITRATE OR LITIGATE ANY DISPUTE IN A REPRESENTATIVE CAPACITY. YOU MAY BRING CLAIMS ONLY ON YOUR OWN BEHALF AND ONLY FOR YOUR OWN LOSSES. YOU MAY NOT PROCEED AS A CLASS REPRESENTATIVE, CLASS MEMBER, COLLECTIVE ACTION MEMBER, PRIVATE ATTORNEY GENERAL, QUI TAM RELATOR, OR IN ANY OTHER REPRESENTATIVE CAPACITY.
14.8 Jury Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THE PLATFORM, THIS AGREEMENT, OR ANY TRANSACTION BETWEEN THE PARTIES.
14.9 Forum Selection
If arbitration procedures are found unenforceable or a claim is not subject to arbitration, proceedings must occur exclusively in a court of competent subject-matter jurisdiction located in Delaware, unless applicable law requires otherwise.
15. Consent to Receive Notices Electronically
You consent to receiving agreements, notices, disclosures, and communications electronically by email, online posting, in-app notice, push notification, text message, or other electronic technology. You agree that all notices provided electronically satisfy any legal requirement that such communications be in writing. This consent is separate from marketing communication preferences.
16. General
16.1 Availability
CrownCards makes reasonable efforts to keep the Platform operational. However, technical difficulties, routine maintenance, upgrades, payment interruptions, shipping disruptions, third-party failures, and events outside CrownCards' control may result in temporary interruptions. CrownCards may modify, suspend, or discontinue any function or the entire Platform at any time, with or without notice.
16.2 No Support or Maintenance
You acknowledge and agree that CrownCards has no obligation to provide support or maintenance in connection with the Platform, except as expressly stated by CrownCards or required by law.
16.3 Changes to Terms of Use
CrownCards may modify this Agreement at any time by adding new terms or deleting or amending existing terms. Modifications will be effective as of the date the updated terms are posted on the website or through the Platform, unless otherwise stated. Continued use after the effective date constitutes acknowledgment and agreement to the modified terms. If you do not agree, you must stop using the Platform.
16.4 Access and Use Where Prohibited
Access to and use of the Platform are unauthorized in any jurisdiction that does not give effect to all provisions of this Agreement or where use of the Platform is prohibited by law.
16.5 Eligible Locations
Unless otherwise stated, all marketing or promotional materials are directed solely to individuals in eligible locations. CrownCards may limit the provision and quantity of any feature, product, or service to any person, Account, or geographic area. Any offer made through the Platform is void where prohibited.
16.6 No Legal, Financial, Tax, or Investment Advice
CrownCards does not provide legal, financial, tax, investment, valuation, grading, or collectibles-market advice. Any values, estimates, ranges, odds, Display Prices, cash-out offers, or other information shown on the Platform are provided for Platform purposes only and should not be relied upon as advice. You should consult your own advisors as appropriate.
16.7 Miscellaneous
This Agreement constitutes the entire agreement between you and CrownCards regarding use of the Platform. CrownCards' non-exercise of any right does not waive it. Section titles are for convenience and have no legal effect. "Including" means "including without limitation." Invalid provisions are severable, and remaining provisions remain valid. Invalid provisions will be modified to the maximum extent enforceable to achieve the original intent. No employment, partnership, fiduciary, agency, or joint venture relationship is created. You may not assign, subcontract, delegate, or transfer your rights or obligations without CrownCards' prior written consent, and any attempted assignment in violation of this Agreement is void.
Acts beyond CrownCards' reasonable control, including acts of God, government actions, fires, floods, epidemics, pandemics, strikes, boycotts, carrier delays, Payment Agent delays, banking interruptions, card-network interruptions, supply-chain failures, market-data failures, grading-company delays, or third-party actions beyond CrownCards' reasonable control, excuse performance on a day-by-day basis to the extent performance is prevented.
The provisions that by their nature should survive termination will survive termination, including provisions relating to ownership, licenses, User Data, User Balance, Wallet, Sales, Net Sale Proceeds, Sale Proceeds Requests, taxes, chargebacks, indemnity, disclaimers, limitation of liability, arbitration, class action waiver, governing law, account restrictions, and miscellaneous terms.
